These Terms of Use govern access to and use of noga-technology.com, the public corporate website operated by A.M. NOGA TECHNOLOGY SYSTEMS LTD under the NOGA name. By using the website, you agree to these Terms. If you do not agree, do not use the website.
These Terms apply only to the public corporate website. Separate terms apply to any NOGA product, service, account, application, download, API, connected device, building deployment, or customer relationship.
1. Website purpose and the NOGA Charter
The website provides corporate information about NOGA and its work in Physical Intelligence and intelligent physical-space technology. Except for the NOGA Charter, website content is general information and is not a binding offer, professional advice, safety instruction, or representation that a product or service is available in any location.
The NOGA Charter expresses NOGA’s public principles and commitments. It is intended to guide NOGA’s conduct and to be capable of public evaluation. Unless the Charter expressly states otherwise, it does not by itself create a contract, a product warranty, a service-level commitment, or a private right to compensation. Nothing in these Terms authorises NOGA to misstate or disregard an express Charter commitment.
2. Permitted use
NOGA grants you a limited, revocable, non-exclusive, non-transferable right to access and use the website for lawful personal or internal business purposes. You must comply with applicable law and respect the rights and security of others.
3. Prohibited use
You must not use the website unlawfully or to harm, threaten, or deceive others; interfere with its operation or security; attempt unauthorised access to systems, accounts, data, buildings, or devices; introduce malicious code; bypass access, rate, or security controls; conduct disruptive testing; misrepresent affiliation with NOGA; infringe intellectual-property, privacy, or other rights; or use automated means in a way that imposes an unreasonable burden or circumvents technical restrictions.
You must not use, reproduce, extract, or make website content available for the development or training of an artificial-intelligence or machine-learning model without NOGA’s prior written permission, except to the extent that applicable law gives you a right that cannot be excluded or the use is expressly authorised by a separate licence. NOGA reserves its rights against text and data mining to the fullest extent permitted by applicable law.
Nothing on the website authorises security testing of NOGA systems, connected spaces, devices, or third-party systems.
4. Intellectual property
The website and its content, design, graphics, logos, software, text, and other materials are owned by or licensed to NOGA and are protected by applicable intellectual-property laws. Except for the limited right above, no licence or right is granted by implication or otherwise. NOGA names, logos, and marks may not be used without prior written permission, except as allowed by law.
5. Messages and website feedback
You retain ownership of messages you submit through the Contact page. Do not submit confidential, proprietary, or commercially sensitive material through the general contact form.
If you voluntarily send feedback specifically about the operation, design, or content of the website, you grant NOGA a worldwide, non-exclusive, royalty-free licence to use and incorporate that website feedback for the purpose of improving the website. This licence does not apply to partnership proposals, building or project concepts, inventions, business plans, or other material unrelated to website feedback.
6. Third-party links
The website may contain links to third-party sites or services. NOGA does not control and is not responsible for their content, availability, security, or practices. Links are provided for convenience and do not necessarily indicate endorsement.
7. Availability and changes
NOGA may change, suspend, or discontinue all or part of the website. We do not promise that it will always be available, uninterrupted, error-free, or free of harmful components. Access may be restricted where reasonably necessary for security, maintenance, legal compliance, or protection of rights.
8. Disclaimers
To the maximum extent permitted by applicable law, the website and its content are provided “as is” and “as available.” NOGA disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment. These limitations do not apply to liability that cannot lawfully be limited or excluded, including any mandatory consumer rights.
10. Suspension and termination
NOGA may suspend or terminate access if it reasonably believes that a user has violated these Terms, created a security or legal risk, or misused the website. Provisions that by their nature should survive termination will continue to apply.
11. Applicable law and disputes
These Terms deliberately do not select a governing law or an exclusive court. Applicable law and jurisdiction are determined under ordinary conflict-of-laws and jurisdiction rules. These Terms do not waive mandatory consumer protections or prevent a person from bringing a claim in a forum available under applicable law. Before starting formal proceedings, you may contact NOGA through the Contact page so that the parties can try to resolve the matter, but doing so is not required where the law provides otherwise or urgent relief is needed.
12. Changes to these Terms
NOGA may update these Terms prospectively. The updated version will be posted on this page with a revised effective date. Additional notice or consent will be provided where required by law. Continued use after the effective date constitutes acceptance only to the extent permitted by applicable law.
13. General
If a provision is unenforceable, it will be modified only to the minimum extent necessary or severed, and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without NOGA’s written consent. NOGA may assign them in connection with a genuine reorganisation or transfer of the relevant business, subject to applicable law.
